These Terms of Service ("Terms") govern your access to and use of the services provided by JON.SYSTEMS, a sole trader registered in the United Kingdom ("we," "us," "our"), including software development and associated services ("Services"). By engaging our Services, you agree to these Terms. If you do not agree, you must not use our Services.
1. Services Provided
- 1.1 We provide bespoke software development and consultancy services tailored to your specifications, as agreed in writing before project commencement.
- 1.2 The scope, timeline, and deliverables will be outlined in a formal agreement or proposal document.
2. Payment Terms
- 2.1 Payments are processed securely via Stripe. By using our Services, you agree to Stripe's Terms of Service and Privacy Policy.
- 2.2 Invoices will be issued as per the agreed terms, and payments are due within 7 days from the date of issue unless otherwise stated.
- 2.3 Late payments may incur interest at the statutory rate as per the Late Payment of Commercial Debts (Interest) Act 1998.
- 2.4 All fees are exclusive of VAT unless stated otherwise.
3. Intellectual Property
- 3.1 Upon full payment, we grant you a non-exclusive, non-transferable license to use the software developed specifically for you. Ownership of intellectual property will be outlined in the project agreement.
- 3.2 We retain the right to reuse generic code, libraries, or frameworks that do not contain proprietary information.
4. Client Obligations
- 4.1 You agree to provide all necessary information, materials, and access required for us to perform the Services.
- 4.2 Delays caused by your failure to provide the above may impact timelines and may result in additional charges.
5. Confidentiality
- 5.1 Both parties agree to treat all non-public, proprietary, or confidential information exchanged as part of the Services as strictly confidential.
- 5.2 This obligation does not apply to information that is publicly available or independently developed without reference to the confidential information.
6. Limitations of Liability
- 6.1 To the extent permitted by law, we are not liable for indirect, consequential, or special damages arising from the use of our Services.
- 6.2 Our total liability to you for any claim, whether in contract, tort (including negligence), or otherwise, is limited to the amount you have paid us for the specific Services in question.
7. Termination
- 7.1 Either party may terminate the agreement with 14 days written notice.
- 7.2 We may terminate immediately if you breach these Terms or fail to make payments as agreed.
- 7.3 Upon termination, you must pay for all Services rendered up to the date of termination.
8. Dispute Resolution
- 8.1 These Terms are governed by the laws of England and Wales.
- 8.2 Any disputes will first be attempted to be resolved amicably through negotiation. If unresolved, disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
9. Amendments to Terms
- 9.1 We reserve the right to update these Terms from time to time. Changes will be effective upon posting on our website or notifying you directly.
- 9.2 Continued use of our Services after any changes constitutes your acceptance of the revised Terms.
